ONLINE PLATFORM – LANGUAGE COURSES

  1. Scope & Definitions

(1) For the relationship between Lingo Hub – Speak the Culture Ltd (“Lingo Hub” or “we”) and you (hereinafter “you”), the following General Terms and Conditions (“GTC”) shall apply in the version valid at the time of the conclusion of the contract. Deviating general terms and conditions of a customer shall not be valid unless Lingo Hub explicitly agrees to their validity in writing.

(2) On the website https://lingo-hub.co.uk/ (“Website”), Lingo Hub offers you various paid online language courses (collectively, the “Service” or the “Services”).

  1. User Account

(1) In order to use a paid online language course from Lingo Hub, you must place an order with Lingo Hub via the user account.

(2) By creating the user account, you declare that you will not create a user account for anyone other than yourself without Lingo Hub’s permission, that all information provided by you when creating the user account is true, accurate and complete, and that you will continue to update your information in the future in case it changes in the course of using the user account.

  1. Rights of Use and Restrictions of Use

(1) In the provision of the Services to You, Lingo Hub will provide You with access to various learning materials (the “Materials”).

(2) Lingo Hub owns all copyright exploitation rights to the Materials, including, but not limited to content, text, images, software, audio and video files and documentation.

(3) Lingo Hub grants you, subject to provisions of these GTC, a non-exclusive, non-transferable, non-sublicensable, worldwide and lifetime right to use the Materials solely for private and non-commercial purposes. However, we reserve the right to revoke any such right at any point in time in the event where we decide or are obligated to disable access to the content due to legal or policy reasons, for example, if the course or other content you are enrolled in is the subject of a copyright compliant.

(4) You may not, without Lingo Hub’s prior explicit written consent, communicate to the public, in particular make available to the public on the internet , broadcast, distribute, sell, rent, sublicense, transmit, publish as adapted works, including but not limited to translation, reproduce for non-private use, or otherwise exploit the Materials or any other copyrighted work of Lingo Hub in any manner not permitted by law.

(5) You are prohibited from making video and/or audio recordings of online language courses and publicly reproducing or distributing them.

  1. Use of the Service, Duties of Care for User Data, Failure of the Service

(1) Your right to access and use the Website and the Service is personal to you. You may not transfer this right to any other person or company. You are only allowed to access the Website and the Service for lawful purposes.

(2) You are responsible for keeping your Lingo Hub user account, username and password confidential. In particular you must not disclose the access data to third parties. You are responsible for all activities related to your user account.

You agree to notify Lingo Hub of any unauthorised use of your account immediately upon becoming aware of such use.

(3) Lingo Hub is not obligated to keep a log of your user account or any data or information you may have stored through the user account and/or the Services.

(4) Your access to and use of the Website might exceptionally be interrupted from time to time. This may have several compelling reasons, such as a regular update or maintenance or repair work of the Website, or other measures that Lingo Hub must perform to maintain the functionality of the Service.

  1. Online Language Courses

(1) If you have booked an online language course, Lingo Hub will provide you with live online lessons with language teachers, either as private or group classes, according to your booking.

(2) To use online language courses, it is necessary for you to use third-party video conferencing software. This is specified in the technical equipment requirements, as amended from time to time, on our Website. You are solely responsible for procuring the respective video conferencing software, including any required rights of use, at your own expense.

(3) Lingo Hub and the language teachers reserve the right to exclude you from a lesson at any time for a good cause. In the event that such exclusion is due to your behavior towards other learners or language teachers, Lingo Hub will exclude you from all future lessons and terminate your participation in the language course. You will have no right to a refund.

(4) Lingo Hub can cancel an online language course at any time before the scheduled start time without giving reasons, especially in case of illness of the language teacher. In this case, your lesson(s) will be rearranged.

(5) If you arrive more than 10 minutes late for a class, the language teacher is entitled to close the course and not conduct it anymore or deny access. In this case, Lingo Hub may charge a fee for the rearrangement of the respective lesson.

  1. Fees and Payments for Online Language Courses

(1) When you book an online language course, you are obligated to pay the fees agreed upon in the order.

(2) You can find the current prices of the offered language courses on the registration pages and sometimes on other pages on our Website.

(3) Lingo Hub reserves the right to change the fees/prices in effect no more than once per calendar year in order to reflect increases in certain cost elements and any resulting increase in the total costs associated with Lingo Hub’s Services. Possible cost elements that affect Lingo Hub’s fees/prices are the costs of language teachers, costs of technical provision and distribution of service, costs of marketing, personnel, service providers and IT systems.

(4) Lingo Hub accepts payment by debit card and credit card. Lingo Hub may, at its sole discretion, accept payment using other conventional methods as BACS.

  1. Term, Termination

(1) The term of an online language course begins at the time designated in the order confirmation.

(2) The contract is concluded for the selected contract period and cannot be terminated without notice unless a termination right is expressly provided for on the checkout page.

(3) The right of Lingo Hub to terminate the contract for good cause remains unaffected by the above paragraphs. Good cause exists for Lingo Hub if you breach this contract.

(4) Upon termination of the contract, Lingo Hub may also delete your user account at a time of its choosing.

  1. Right of withdrawal

If you are a consumer, as opposed to a business, you are entitled at law to a right of withdrawal from your contract with Lingo Hub. Consumer in this sense (and in the sense of these GTC) is any natural person who uses the services of Lingo Hub for a purpose that cannot be predominantly attributed to his commercial or independent professional activity.

You have the right to withdraw from this contract within 14 days after the date of purchase without giving any reason.

To exercise the right of withdrawal, you must inform us by email at info@lingo-hub.co.uk) of your decision to withdraw from this contract by an unequivocal statement.

To meet the withdrawal deadline, it is sufficient for you to send your communication concerning your exercise of the right of withdrawal before the withdrawal period has expired. If you withdraw from this contract within 14 days, we shall refund you in full to your original payment method, except that where you have consumed part of the service, the refund shall be pro-rated to take this into account. (in case of downloadable courses).

At our discretion, if we believe you are abusing our refund policy, we reserve the right to ban your account, and/or restrict all future use of our online language courses.

No refunds will be given to any withdrawal outside of the above 14 day window.

Any withdrawal will automatically terminate any right granted to you by these GTC to access the learning content and the Materials.

In case of IN-PERSON AND ONLINE LIVE COURSES a refund is not possible once you have attended the first class, as participation in that session indicates acceptance of the service provided. The initial class often gives access to valuable course content, materials, and the instructor’s time and effort. By attending, you have already begun to benefit from the course, which means a portion of the service has been delivered.

  1. Using LingoHub at Your Own Risk & Limitation on Liability

Using LingoHub at Your Own Risk

(1) We do not exercise any editorial control over the content that is available on the platform and, as such, do not guarantee in any manner the reliability, validity, accuracy, or truthfulness of the content. If you access content, you rely on any information provided by an instructor at your own risk.

(2) By using the Services, you may be exposed to content that you consider offensive, indecent, or objectionable. Udemy has no responsibility to keep such content from you and no liability for your access or enrollment in any course or other content, to the extent permissible under applicable law. This also applies to any content relating to health, wellness, and physical exercise. You acknowledge the inherent risks and dangers in the strenuous nature of these types of content, and by accessing such content you choose to assume those risks voluntarily, including risk of illness, bodily injury, disability, or death. You assume full responsibility for the choices you make before, during, and after your access to the content.

(3) When you interact directly with a student or an instructor, you must be careful about the types of personal information that you share. While we restrict the types of information instructors may request from students, we do not control what students and instructors do with the information they obtain from other users on the platform. You should not share your email or other personal information about you for your safety.

(4) We do not employ instructors nor are we responsible or liable for any interactions involved between instructors and students. We are not liable for disputes, claims, losses, injuries, or damage of any kind that might arise out of or relate to the conduct of instructors or students.

(5) When you use our Services, you will find links to other websites that we don’t own or control. We are not responsible for the content or any other aspect of these third-party sites, including their collection of information about you. You should also read their terms and conditions and privacy policies.

Limitation on Liability

(6) References to liability in this section 9 include every kind of liability arising under or in connection with the contract including liability in contract, tort (including negligence), misrepresentation, restitution or otherwise.

(7) Nothing in the contract limits any liability which cannot legally be limited, including but not limited to liability for:

(a)        death or personal injury caused by negligence;

(b)       fraud or fraudulent misrepresentation; and

(c)        breach of the terms implied by section 2 of the Supply of Goods and Services Act 1982 (title and quiet possession).

(8) Subject to section 9(7), Lingo Hub’s total liability to you under the contract shall not exceed £1,000.

(9) Subject to section 9(7), this Section 9(9) sets out the types of loss for which Lingo Hub shall have no liability for:

(a)        loss of profits;

(b)       loss of sales or business;

(c)        loss of agreements or contracts;

(d)       loss of anticipated savings;

(e)        loss of use or corruption of software, data or information;

(f)         loss of or damage to goodwill; and

(g)       indirect or consequential loss.

  1. Privacy Policy

Your use of our Website and the processing of your personal data is carried out in accordance with UK GDPR and the Data Protection Act 2018 (and any other relevant data privacy legislation applicable).

  1. Your Special Duties 

(1) You agree to refrain from the following actions:

  • distribute electronic content (including viruses, worms, Trojan horses) capable of causing damage or any form of harm to Lingo Hub’s computer systems, as well as publish URLs or links to websites or servers containing such content,
  • generate substantial electronic traffic, e.g. by sending unsolicited commercial emails, junk emails, other unsolicited communications, so-called mail bombs, etc. to one person, to distribution lists or to several newsgroups (spamming),
  • use any mechanism, software or other script in connection with the use of the Website that interferes with the functionality or accessibility of the Website or modify, delete or overwrite any content on the Website created and maintained by Lingo Hub.

(2) You further agree:

  • not to photograph other participating clients or the language teacher during an online language course or to make audio and/or video recordings of them and/or to make them available to the public or distribute them publicly.
  • not to insult, defame, discriminate against or threaten other participating clients or the language teacher during the online language course in a racist, anti-Semitic or homophobic or transphobic manner, or for any other reason.
  1. Compensation

You agree to indemnify Lingo Hub with respect to any and all damages resulting from your negligent or intentional breach of the GTC.

  1. Changes to the GTC

Lingo Hub has the right to change these GTC with effect for the future, for example due to a change in the law or to ensure better functionality of the Website or Services.

  1. Miscellaneous

(1) Contracts between you and Lingo Hub shall be governed by the laws of England and Wales. The parties shall submit to the exclusive jurisdiction of the courts of England and Wales.

(2) Should individual provisions of this contract be invalid, this shall not affect the remainder of the contract.
